1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Wearly Technologies Inc. ("Wearly," "we," "us," or "our") governing your use of Wearly Studio and related services (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Wearly Studio is a virtual try-on (VTON) platform for e-commerce that provides:

• AI-powered image and video generation for product visualization
• Product gallery management
• Bulk processing generation
• Enterprise team management features

3. User Types and Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

The Service offers the following user types:

• Studio Users: Individual accounts with personal galleries (Free or Premium)
• Enterprise Managers: Team administrators who manage members and shared resources
• Enterprise Members: Team members invited by Enterprise Managers
• Mixed Users: Users with hybrid creation and management privileges

4. Account Registration

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You may only create one account per person unless specifically authorized for enterprise use.

5. Credits System

The Service operates on a credit-based system:

Free Credits

New users receive 5 free credits upon signup.

Model Credit Costs

Credit Rollover

Unused monthly credits do not carry over to the next billing period. Credits are non-transferable between accounts.

6. Subscription Plans

We offer the following subscription plans:

• Hobby Plan: 1,000 credits per month
• Pro Plan: 3,000 credits per month
• Enterprise: Custom credit allocations and pricing

7. Payment Terms

• All payments are processed securely through Stripe
• Subscriptions renew automatically at the end of each billing period
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period

8. Acceptable Use

You agree to use the Service only for lawful purposes. You must:

• Use the Service for commercial e-commerce purposes as intended
• Own or have rights to all content you upload
• Comply with all applicable laws and regulations

You must NOT:

• Upload illegal, harmful, or offensive content
• Infringe on copyrights, trademarks, or other intellectual property rights
• Use the Service to generate misleading or deceptive content
• Attempt to circumvent security measures or abuse the Service
• Resell or redistribute the Service without authorization

9. AI-Generated Content

You acknowledge and agree that:

• Content is generated using third-party AI services
• We do not guarantee specific results or quality
• You are responsible for reviewing all generated outputs before use
• Safety filters may reject or modify certain content
• Generated content may not be suitable for all purposes

10. Intellectual Property

• Your Content: You retain all rights to content you upload
• Generated Outputs: You own the rights to content generated through the Service using your inputs
• Platform IP: Wearly retains all rights to the Service, including software, design, and branding
• License Grant: You grant us a limited license to use your content solely for operating and improving the Service

11. Enterprise Terms

For Enterprise accounts:

• Enterprise Managers are responsible for team member conduct
• Credits are pooled and shared among team members
• Member access is governed by the Enterprise Manager
• The Enterprise owner is responsible for all billing

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

• The Service will be uninterrupted or error-free
• AI generation results will meet your specific requirements
• Third-party services will be continuously available

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for events beyond our reasonable control (force majeure)

14. Indemnification

You agree to indemnify, defend, and hold harmless Wearly Technologies Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.

15. Termination

• You may delete your account at any time through the account settings
• We may suspend or terminate your account for violations of these Terms
• Upon termination, your right to use the Service ceases immediately
• Unused credits are forfeited upon termination
• We may retain certain data as required by law

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
